The SRL: Limited Liability Company

The SRL (Sociedad de Responsabilidad Limitada) is Argentina's most common corporate structure for small and medium businesses. It requires a minimum of 2 partners (socios) and a maximum of 50, has no minimum capital requirement in practice, and is managed by one or more gerentes (managers). Corporate decisions are made by cuotas (quotas) rather than shares. It is simpler to maintain than an SA and has lower compliance costs.

The SA: Sociedad Anónima

The SA (Sociedad Anónima) is the Argentine equivalent of a corporation or PLC. It is required for companies that wish to list on the stock exchange, for financial institutions and insurance companies, and is preferred for larger operations with multiple investors. It issues acciones (shares), has a board of directors (directorio), and requires a fiscal commission (síndico) — adding compliance complexity and cost.

Which Should You Choose?

For most foreign investors establishing an operational or holding company in Argentina, the SRL is the right choice — simpler, cheaper to maintain, and fully adequate for the majority of business purposes. The SA is appropriate when you expect to have many investors, need to issue equity broadly, or operate in a regulated sector that requires it.
